The main thing you absoltely have to have is waterproof glue which is used in marine and exterior plywood. marine grades also should have less voids than exterior, gaps in the inside veneers on exterior or cheaper are what allows water to spread through the sheet once the coating is breached. Marine grades do not allow those voids.
